Terms and Conditions of Use

Notwithstanding Section 8.1 of the Standard Service Agreement, you agree that GenScript retains full ownership of the GenScript Proprietary Vectors, including but not limited to the pGS and the GS-mk/GS-CMV vector series (the "Plasmids"), which may be used in the services GenScript provides. The Plasmids might be covered by certain patent rights. GenScript hereby grants to Client a limited, non-exclusive, non-transferable, non-sublicensable right to use the Deliverables that is generated by using the Plasmids Client ordered from GenScript for internal research purposes only. No right to resell the Deliverables or any of their components is conveyed expressly, by implication, or by estoppel. Unless otherwise agreed expressly in writing by an authorized representative of GenScript, no right is granted to use the Deliverables or Plasmids in commercial applications of any kind, including without limitation, manufacturing, quality control or commercial services such as reporting experimental results or data for a fee, or other forms of consideration. It is solely Client’s responsibility to determine whether it is required to obtain any additional or third-party intellectual property rights depending upon the particular application in which Client uses the Deliverables. Unless otherwise agreed expressly in writing by an authorized representative of GenScript, all the Deliverables including the Plasmids are for RESEARCH USE ONLY, AND NOT FOR HUMAN OR ANIMAL THERAPEUTIC OR DIAGNOSTIC USE. Client is solely responsible for making sure that the way Client uses the Deliverables complies with applicable laws, regulations and governmental policies and for obtaining all necessary approvals, intellectual property rights, licenses and permissions in relation to Client’s use.
